Acceptance of Terms

By accessing or using PlanPhaƨe™ at planphaze.com, you agree to be bound by these Terms of Use (“Terms”). These Terms constitute a legally binding agreement between you and EXP Studio, LLC (“EXP Studio”, “we”, “us”, or “PlanPhaƨe™”). If you do not agree to all of these Terms, you must not access or use the service.

You must be at least 13 years of age to use PlanPhaƨe™. By using the service, you represent that you meet this minimum age requirement.

Description of Service

PlanPhaƨe™ is a project management and collaboration platform designed specifically for game developers and game development teams. Operated by EXP Studio, LLC, PlanPhaƨe™ provides tools including project planning, task management, document collaboration, asset organization, and team communication features.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

Account Registration & Eligibility

To access most features of PlanPhaƨe™, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials. You are responsible for all activity that occurs under your account.
• Notify us immediately at contact@planphaze.com if you suspect unauthorized access to your account.
• Maintain only one account per person. Duplicate accounts may be removed.

You must be at least 13 years old to create a free account. To purchase a paid subscription, you must be at least 18 years old or have the consent of a parent or legal guardian.

Acceptable Use Policy

When using PlanPhaƨe™, you agree NOT to:

• Post, upload, or share any content that is illegal, obscene, defamatory, threatening, or violates applicable law.
• Harass, bully, intimidate, or abuse other users of the platform.
• Attempt to gain unauthorized access to any part of the platform, other user accounts, or our underlying infrastructure.
• Scrape, crawl, or otherwise extract data from PlanPhaƨe™ by automated means without express written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload, share, or distribute content that infringes on third-party intellectual property rights, including copyrights and trademarks.
• Use PlanPhaƨe™ to send unsolicited commercial communications (spam) or to facilitate phishing.
• Transmit malware, viruses, or other harmful or disruptive code.

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice.

User Content & Intellectual Property

You retain ownership of all content you create, upload, or submit to PlanPhaƨe™, including projects, documents, assets, and messages (“User Content”). By using PlanPhaƨe™, you grant EXP Studio, LLC a limited, worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and back up your User Content solely for the purpose of providing and improving the service.

This license ends when you delete your content or close your account (subject to our data retention practices). We do not claim ownership of your User Content and will not use it for any purpose beyond operating the platform.

PlanPhaƨe™, its name, logo, design, software, and all associated branding and documentation are the exclusive intellectual property of EXP Studio, LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You may not use our branding without prior written consent.

Subscription, Billing & Payments

PlanPhaƨe™ offers both free and paid subscription plans. Paid subscriptions are billed on a monthly or annual basis, as selected at checkout, via our payment processor Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

• All fees are charged in advance at the start of each billing period.
• We do not offer refunds for partial months or unused portions of a billing period.
• We may change subscription prices with at least 30 days’ notice communicated via email or in-app notification. Continued use after the effective date constitutes acceptance of the new pricing.
• Failure to pay may result in suspension or downgrade of your account to the free plan until payment is resolved.

Free Plan Limitations

The PlanPhaƨe™ free plan is subject to the following limitations:

• Storage — Up to 2 GB of file and asset storage.
• Projects — Up to 2 active projects.
• Team members — Up to 3 members per workspace.

We reserve the right to modify free plan limits at any time with reasonable notice. If you exceed free plan limits, you may be required to upgrade to a paid plan to continue accessing certain features or storing additional data.

Service Availability

We strive to maintain a service uptime of 99.5% or greater. However, we make no guarantees of uninterrupted access. The platform may be temporarily unavailable due to scheduled maintenance, emergency repairs, or circumstances beyond our control.

We will communicate planned maintenance windows in advance through in-app notifications or via email where feasible. EXP Studio, LLC is not liable for any losses, damages, or inconvenience resulting from scheduled or unscheduled downtime.

Termination

You may close your PlanPhaƨe™ account at any time through your account settings. Upon closure, your access to the platform will end immediately. We may terminate or suspend your account at any time, with or without notice, if we determine that you have violated these Terms or engaged in conduct that we deem harmful to other users or to the platform.

Upon termination of your account — whether by you or by us — your data will remain available for export for 30 days, after which it will be permanently deleted in accordance with our data retention policy. We encourage you to export your data before closing your account.

Disclaimers & Limitation of Liability

PlanPhaƨe™ is provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, EXP Studio, LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, EXP Studio, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of your use of or inability to use PlanPhaƨe™.

Our total liability to you for any claim arising out of or relating to these Terms or your use of PlanPhaƨe™ shall not exceed the total fees you paid to EXP Studio, LLC in the twelve (12) months immediately preceding the claim.

Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of PlanPhaƨe™ shall be subject to the exclusive jurisdiction of the state and federal courts located in New York.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
